Terms of Service

1. Applicability

1. These Terms of Service (“Terms”) govern your use of the web application services (the “Service”) provided by MyAIAgents (“we,” “us,” or “our”). By registering for or using the Service, you agree to be bound by these Terms.
2. We may revise these Terms at any time. Revised Terms will be posted on our website and take effect upon posting. Your continued use of the Service after any such posting constitutes your acceptance of the revised Terms.

2. User Registration

1. To use the Service, you must complete our registration process and obtain our approval.
2. We may refuse or cancel your registration at our sole discretion, including without limitation if:
   • (a) You submit false or misleading information;
   • (b) You have previously been removed for violations of these Terms;
   • (c) We determine your registration is otherwise inappropriate.

3. Service Description

1. The Service connects (with your permission) to your Gmail account, analyzes incoming emails to automatically extract actionable to-do items, and—if you choose—integrates with your calendar to propose a schedule.
2. Your use of Google APIs, OpenAI APIs, or other third-party services in connection with the Service may require you to enter separate agreements and obtain your own API credentials.

4. User Responsibilities

1. You are responsible for obtaining and maintaining all hardware, software, and Internet connections necessary to access the Service.
2. You must not use the Service to infringe any third-party rights or in any unlawful, defamatory, infringing, or otherwise objectionable manner.
3. If you grant the Service access to your Gmail account, you alone are responsible for the privacy and security of your email data. We disclaim all liability for your handling of that data.

5. Prohibited Conduct

• (a) Violate any law, regulation, or public policy;
• (b) Infringe or misappropriate the rights of others;
• (c) Interfere with or disrupt the Service or its infrastructure;
• (d) Access or collect data from other users’ accounts without authorization;
• (e) Transmit malicious code or overload our servers;
• (f) Encourage or facilitate others to violate these Terms;
• (g) Engage in any conduct we deem inappropriate.

6. Service Suspension, Interruption, or Modification

1. We may suspend, interrupt, modify, or discontinue all or part of the Service at any time without notice, for reasons including:
   • (a) Maintenance, upgrades, or emergency repairs;
   • (b) Force majeure events (e.g., natural disasters, war, epidemics);
   • (c) Any other reason we consider necessary.
2. We will not be liable for any damages resulting from any such suspension or discontinuation.

7. Intellectual Property

1. All intellectual property rights in the Service (software, logos, content, etc.) are owned by us or our licensors.
2. You may not reverse-engineer, decompile, copy, modify, or redistribute any portion of the Service without our prior written consent.

8. Disclaimer of Warranties; Limitation of Liability

1. The Service is provided “as is” and “as available.” We make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
2. We are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
3. We are not responsible for any outages, errors, or changes to third-party APIs (e.g., Google, OpenAI) on which the Service depends.

9. Fees and Payment

1. The Service is currently provided free of charge. We may introduce paid plans in the future, subject to separate terms and advance notice.

10. Termination

1. You may terminate your account at any time by following the procedures in your account settings.
2. We may suspend or terminate your access immediately, without notice, if you breach these Terms.

11. Governing Law & Jurisdiction

1. These Terms are governed by the laws of Japan.
2. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
